This article analyzes the theoretical and practical aspects of the institution of restructuring corporate entities. Within the framework of the legislation of the Republic of Uzbekistan, the forms and procedures of reorganization, issues of legal succession, and mechanisms for protecting the rights of creditors and shareholders were studied. The experience of the USA (Delaware), Germany, and other developed countries was also analyzed using the comparative legal method. The article presents the scientific views of domestic and foreign legal scholars and puts forward the author's proposals for improving the corporate legislation of Uzbekistan.
